Welcome to nendlabs. By using our services, you agree to the following terms and conditions (the "Terms"). If you do not agree to these Terms, please do not use our services.

Use of Service

You may use nendlabs for non-commercial purposes, provided that you comply with these Terms and any applicable laws or regulations. You may not use our services to transmit, store, or distribute any content that is illegal, harmful, or infringes on the rights of others. nendlabs reserves the right to suspend or terminate your access to services at any time if we suspect that you are in breach of these Terms.

Payment and Fees

Some features of nendlabs services may be subject to fees, which will be clearly communicated to you before you incur any charges. You are responsible for paying all applicable fees and taxes, and for maintaining valid payment information on file with us. nendlabs may modify or update its pricing structure at any time, but will provide advance notice of any changes that may affect your account.

Intellectual Property

nendlabs retains all rights, title, and interest in and to services, including all intellectual property rights, whether registered or unregistered. You may not copy, modify, distribute, or otherwise use any part of our services without our prior written consent.

Disclaimer of Warranties

Services are provided "as is" and without warranty of any kind, whether express or implied. nendlabs does not warrant that the services will be error-free, uninterrupted, or free from viruses or other harmful components. You acknowledge and agree that your use of services is at your own risk.

Limitation of Liability

To the fullest extent permitted by law, nendlabs shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from or related to services shall not exceed the amount paid by you for services during the twelve (12) months preceding the date of the claim.

Indemnification

You agree to indemnify and hold nendlabs and its affiliates, officers, directors, employees, and agents harmless from any claims, damages, or losses arising from your use of services, including but not limited to any violation of these Terms, any infringement of third-party rights, or any breach of applicable laws or regulations.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, without giving effect to any principles of conflicts of law. Any dispute arising out of or in connection with these Terms or services shall be resolved through binding arbitration in Toronto, Ontario, in accordance with the rules of the Canadian Arbitration Association. The parties hereby waive any right to a jury trial or to participate in a class action lawsuit.

Miscellaneous

These Terms constitute the entire agreement between you and nendlabs regarding services, and supersede all prior or contemporaneous communications and proposals, whether oral or written. Any waiver or modification of these Terms must be in writing and signed by both parties. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
